Terms of Service

Welcome to Prime Edge Media. These Terms of Service ("Terms") govern the use of services provided by Parker DeKubber Productions LLC, operating as Prime Edge Media ("Prime Edge Media," "we," "our," or "us").

By accessing, purchasing, or using our services, you agree to be bound by these Terms. These Terms apply to all services provided by Prime Edge Media unless otherwise specified in a written agreement.

1. Scope of Services

Prime Edge Media provides creative production and marketing services including but not limited to:

• Video production
• Photography
• Social media marketing and publishing
• Marketing consulting and strategy
• Content planning and distribution
• Custom creative projects

Specific deliverables, timelines, and scope are defined in the applicable written agreement, proposal, or service package selected by the client. Deliverables are defined by output and agreed scope, not hours worked. Any services not explicitly included in the written agreement may require additional fees or revised scope.

2. Acceptance of Terms

By purchasing services, signing an agreement, paying an invoice, or continuing to use Prime Edge Media services, the client acknowledges and agrees to these Terms. Payment of any invoice constitutes acceptance of these Terms of Service.

3. Production Responsibilities

Client Responsibilities

The client agrees to:

• Provide reasonable access to locations, personnel, and necessary assets
• Designate a single decision-maker for approvals and communication
• Provide feedback and approvals within communicated timelines
• Ensure safe and lawful environments during production Failure to provide timely access, materials, or approvals may delay production timelines.

Prime Edge Media is NOT responsible for delays caused by client responsiveness or availability.

Prime Edge Media Responsibilities

Prime Edge Media will manage and execute agreed services including:

• Pre-production planning
• Production and filming
• Post-production editing
• Content delivery and publishing where applicable

Prime Edge Media retains professional discretion over production methods, equipment, editing decisions, crew selection, and workflow processes.

4. Payment Terms

Payment structures are defined within the applicable project agreement or service package.

Accepted payment structures may include:

• Paid in full upfront
• Split payment structures
• Installment plans
• Monthly service subscriptions

Invoices must be paid within the timeframe indicated on the invoice.

All retainers and initial payments are non-refundable. All sales are considered final unless otherwise agreed in writing.

5. Late Fees & Payment Enforcement

Invoices not paid within seven (7) days of the due date will incur a late fee equal to five percent (5%) of the total invoice amount.

Invoices remaining unpaid thirty (30) days after the due date will incur an additional five percent (5%) late fee, resulting in a total late fee of ten percent (10%) of the original invoice amount.

Prime Edge Media reserves the right to:

• Pause production or services
• Suspend publishing or content delivery
• Withhold deliverables
• Delay future production scheduling until all outstanding balances and late fees are paid in full.

Failure to make timely payments may impact project timelines and production availability.

6. Capacity Reservation (Monthly Services)

Monthly service agreements reserve production capacity, planning time, and scheduling availability. Failure to utilize available production time due to client delays, scheduling conflicts, or lack of communication does not reduce the monthly service fee. Reserved production capacity remains billable during the term of the agreement.

7. Reviews, Approvals, and Revisions

Unless otherwise specified in a written agreement, deliverables include one standard revision round per asset.

Revisions include reasonable adjustments to previously delivered content.

Revisions do NOT include:

• New filming
• New creative concepts
• Changes to previously approved direction
• Additional deliverables beyond the agreed scope

Requests for changes after written approval may incur a re-approval fee of $250 per asset, plus any additional production or editing costs required.

8. Scheduling Delays and Project Inactivity

If production or delivery is delayed due to client availability or responsiveness:

• Timelines may adjust
• Production may pause
• Remix or repurposed content may be used to maintain posting cadence

If a client is unresponsive for 14 consecutive days, Prime Edge Media may proceed using available direction or standard workflows. If unresponsiveness exceeds 30 consecutive days, Prime Edge Media may pause production while maintaining billing for reserved capacity. If unresponsiveness exceeds 45 consecutive days, Prime Edge Media may consider the project inactive and deliver remaining assets in a consolidated format.

Lack of communication does not relieve the client of payment obligations.

9. Creative Discretion

Clients acknowledge familiarity with Prime Edge Media’s work and agree that services will be delivered in a similar style unless otherwise specified in writing. Prime Edge Media retains professional discretion over creative direction, production methods, editing style, and technical execution.

10. Intellectual Property

Ownership of final deliverables transfers to the client only after full payment of all outstanding invoices.

Prime Edge Media retains the right to use produced content for:

• Portfolio use
• Marketing
• Promotional purposes

Unless otherwise agreed in writing.

Raw footage, project files, and source files are not included unless explicitly stated in a written agreement.

11. File Retention

Prime Edge Media retains project files for 30 days after final delivery.

After this period files may be permanently deleted. Clients are responsible for downloading and securely storing their deliverables.

Prime Edge Media is not responsible for file loss after the retention period.

12. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary processes, documents, and information shared during the engagement. This obligation survives termination of services.

13. Non-Solicitation

Clients agree not to solicit, hire, or engage any Prime Edge Media employees or contractors involved in their project for twelve (12) months following the conclusion of services. This restriction does not apply to general employment advertisements not specifically targeting Prime Edge Media personnel.

14. Limitation of Liability

Prime Edge Media’s total liability for any claim arising from services provided shall not exceed the total amount paid by the client for those services.

Prime Edge Media does not guarantee specific marketing outcomes, revenue increases, follower growth, or business results. Marketing performance depends on numerous external factors outside Prime Edge Media’s control.

15. Safety & Production Conditions

Both parties agree to maintain safe working conditions during production. The client must ensure that no unsafe conditions, illegal activity, or hazardous environments are present during filming unless previously disclosed and agreed upon.

Prime Edge Media reserves the right to stop production if safety risks are present.

16. Force Majeure

Neither party shall be held liable for delays or failure to perform due to circumstances beyond reasonable control including: • natural disasters
• Government restrictions
• Severe weather
• War or civil disturbances
• Equipment failure outside reasonable control

Production timelines may be rescheduled accordingly.

17. Dispute Resolution

Any disputes arising from these Terms shall first be subject to mediation in the State of Michigan. If unresolved, disputes will be resolved through binding arbitration in Michigan.

Each party will bear its own legal costs unless otherwise determined during arbitration.

18. Governing Law

These Terms are governed by the laws of the State of Michigan.

19. Severability

If any provision of these Terms is deemed unenforceable, the remaining provisions remain valid and enforceable.

20. Amendments

Prime Edge Media reserves the right to update these Terms at any time. Updated Terms become effective upon posting on the Prime Edge Media website.

Continued use of services constitutes acceptance of the updated Terms.
